1. Acceptance of Terms

By purchasing, accessing, or using ClaudeKit products and services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use our services.

ClaudeKit reserves the right to modify these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of our services after changes constitute acceptance of the modified Terms.

2. Service Description

ClaudeKit provides premium Claude Code starter kits and development tools for solo developers and indie makers. Our products include:

  • Engineer Kit ($99 USD) - Claude Code subagents system, slash commands, and development workflows
  • Marketing Kit ($99 USD, Coming Soon) - Research, sales, and marketing automation tools
  • Combo Bundle ($149 USD, Coming Soon) - Complete package with priority support

All products are delivered as private GitHub repository access containing source code, documentation, and implementation guides.

3. License Grant

3.1 Your License to Use

Upon purchase and payment, ClaudeKit grants you a non-exclusive, non-transferable, perpetual license to:

  • Access and use the purchased starter kit source code
  • Modify the code for your own projects
  • Deploy the code in your commercial or personal applications
  • Create derivative works based on the starter kits

3.2 License Restrictions

You may not:

  • Resell, redistribute, or sublicense ClaudeKit products or source code
  • Share repository access with unauthorized users
  • Create competing products based on ClaudeKit source code
  • Remove or modify copyright notices or attribution
  • Use the products for illegal or malicious purposes

4. Repository Access

4.1 GitHub Username

To access private repositories, you must provide a valid GitHub username. Repository invitations will be sent within 24 hours of purchase confirmation.

4.2 Access Duration

Repository access is granted for the lifetime of the repository, subject to compliance with these Terms.

4.3 Access Revocation

ClaudeKit reserves the right to revoke repository access if you:

  • Violate these Terms
  • Share access with unauthorized users
  • Engage in fraudulent purchases
  • Use products for malicious purposes

5. Payment & Billing

5.1 Payment Processors

We use secure payment processors:

  • Polar.sh for global credit card and PayPal payments
  • Sepay for Vietnam bank transfer payments (VND)

5.2 Pricing

All prices are listed in USD unless otherwise specified. Vietnam payments are processed in VND at current exchange rates.

5.3 Payment Completion

Access to products is granted only after successful payment confirmation from our payment processors.

6. Refund Policy

6.1 Money-Back Guarantee

We offer a 30-day money-back guarantee from the date of purchase for Engineer Kit purchases.

6.2 Refund Conditions

Refunds are available if:

  • You have not yet accepted the GitHub repository invitation
  • You have not cloned or downloaded the repository
  • You request a refund within 30 days of purchase

6.3 No Refunds After Access

Once you have accessed the repository (accepted invitation or cloned code), refunds are no longer available, as you have received the digital product.

6.4 Refund Process

To request a refund, email hello@claudekit.cc with your order details. Refunds are processed within 7-10 business days to the original payment method.

7. Intellectual Property Rights

7.1 ClaudeKit Ownership

ClaudeKit retains all ownership rights to:

  • Original source code and architecture
  • ClaudeKit branding, logos, and trademarks
  • Documentation and educational materials
  • Platform and website design

7.2 Your Ownership

You retain all ownership rights to:

  • Your modifications to the source code
  • Your derivative works and applications
  • Your business logic and implementations
  • Content you create using ClaudeKit tools

7.3 Attribution

While not required for your own projects, we appreciate attribution when sharing or showcasing work built with ClaudeKit.

7.4 Open Source Components

ClaudeKit products may include open source components subject to their own licenses. See LICENSE files in repositories for details.

8. Prohibited Uses

You may not use ClaudeKit products to:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Create malware, viruses, or harmful software
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm others
  • Reverse engineer for competitive purposes
  • Circumvent security measures or access controls
  • Generate harmful or illegal AI content

9. Account Security

9.1 GitHub Account

You are responsible for:

  • Maintaining the security of your GitHub account
  • All activity under your GitHub username
  • Not sharing repository access with others
  • Complying with GitHub's Terms of Service

9.2 Email Account

Keep your email address current for order confirmations, repository invitations, and important notifications.

10. Warranties & Disclaimers

10.1 As-Is Provision

ClaudeKit products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation
  • Accuracy or completeness

10.2 Your Responsibility

You assume all risk for:

  • Selection and use of ClaudeKit products
  • Results obtained from using the products
  • Integration with your systems and workflows
  • Compliance with applicable laws and regulations

10.3 No Guarantee

We do not guarantee that ClaudeKit products will:

  • Meet your specific requirements
  • Be compatible with all systems
  • Operate without interruptions or errors
  • Be free of bugs or defects

11. Limitation of Liability

11.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAUDEKIT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT ($99 USD for Engineer Kit, $149 USD for Combo Bundle).

11.2 Excluded Damages

IN NO EVENT SHALL CLAUDEKIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business
  • Loss of data or corruption
  • Cost of substitute products or services
  • Business interruption
  • Loss of goodwill or reputation

11.3 Exceptions

The limitations above do not apply to:

  • Fraud or willful misconduct by ClaudeKit
  • Death or personal injury caused by ClaudeKit's negligence
  • Violations that cannot be limited by law
  • Breach of confidentiality obligations

12. Indemnification

You agree to indemnify and hold harmless ClaudeKit, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of ClaudeKit products
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your modifications or derivative works
  • Your applications or deployments

13. Termination

13.1 Termination by You

You may stop using ClaudeKit products at any time. Your license to use the code remains valid unless revoked for Terms violations.

13.2 Termination by ClaudeKit

We may terminate or suspend your access if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Misuse products for illegal purposes
  • Share repository access improperly

13.3 Effect of Termination

Upon termination:

  • Your repository access will be revoked
  • Your license to use the code may be terminated
  • You must cease using ClaudeKit branding
  • Sections 7 (IP Rights), 10 (Disclaimers), 11 (Liability), and 12 (Indemnification) survive termination

14. Third-Party Services

ClaudeKit integrates with third-party services including:

  • GitHub (repository hosting and access management)
  • Polar.sh (payment processing)
  • Sepay (Vietnam payment processing)
  • Resend (email communications)
  • Anthropic (Claude AI API)

You are responsible for reviewing and complying with the terms and privacy policies of these third-party services.

15. Privacy & Data Protection

15.1 Privacy Policy

Your use of ClaudeKit is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

15.2 Data Collection

We collect:

  • Email address and name (for order processing)
  • GitHub username (for repository access)
  • Payment information (processed by Polar.sh/Sepay)

15.3 Compliance

We comply with:

  • GDPR (General Data Protection Regulation) for EU users
  • CCPA (California Consumer Privacy Act) for California users
  • Applicable data protection laws

16. Export Control

ClaudeKit products may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws, including US export controls and economic sanctions.

You may not access or use ClaudeKit products if you are:

  • Located in a country subject to US embargo
  • Listed on any US government restricted parties list
  • Prohibited from receiving US exports

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of Vietnam, without regard to conflict of law principles.

17.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at hello@claudekit.cc to attempt informal resolution for at least 30 days.

17.3 Jurisdiction

For any disputes that cannot be resolved informally, you agree to the exclusive jurisdiction of the courts in Ho Chi Minh City, Vietnam.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClaudeKit regarding your use of our products.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

18.3 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

18.4 Assignment

You may not assign or transfer these Terms without our written consent. ClaudeKit may assign these Terms without restriction.

18.5 Force Majeure

ClaudeKit is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or service disruptions by third-party providers.

18.6 Independent Contractors

No agency, partnership, joint venture, or employment relationship is created by these Terms.

We will send notices to the email address associated with your purchase.

18.8 Language

The English language version of these Terms is legally binding. Translations are provided for convenience only.

19. Updates & Modifications

ClaudeKit may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Non-material changes may be posted without prior notice.

Last updated date at the top of this document indicates when these Terms were last modified.

20. Age Restriction

ClaudeKit products are intended for users 18 years of age or older. By using our services, you represent that you are at least 18 years old.
